The Board consists of four officers and six members at large:

Members at Large: The five members at large are Charles McEachern, Dennis Kerr, Kim Hanaeur, Elise Barrett and Jonathan Nyberg.
Officers will meet with the board members monthly. Open to all neighborhood residents. Both homeowners and renters. See homepage for times.
The name of this Association shall be the "Tuscaloosa-Lakewood Neighborhood Association."
The purposes of this Association shall be
1) to encourage and promote community pride in our neighborhood by providing a forum for neighborhood activity;
2) to be a voice for our common neighborhood interest by acting as liaison with governmental bodies and with institutions, schools, and businesses in and around our neighborhood, and to work with other neighborhood associations on common concerns;
3) to serve as a focal point for maintenance and improvement of institutions and facilities serving our neighborhood, including parks, schools, and public safety services, and to provide an avenue for neighborhood social activities;
4) to encourage and facilitate vigorous citizen participation in all issues affecting our neighborhood, including quality of life, property values, safety, land use, zoning changes, traffic patterns, and street modifications;
5) to help guide and insure reasonable managed growth of the neighborhood; and
6) other lawful purposes.
This Association is and shall remain a non-profit corporation (SOS ID #0259135) under North Carolina law, and no part of the net earnings thereof shall inure to any individual member.
Memberships shall be available as follows:
Individual Memberships
1) Any person 18 years of age or older who resides in rental property within the neighborhood boundaries and has paid the annual dues
2) Any individual 18 years of age or older who owns and resides in property within the neighborhood boundaries and has paid the annual dues
3) Any individual who lives outside the TLNA boundaries and supports the mission and activities of TLNA and has paid the annual dues
Group Memberships
Two or more persons 18 years of age or older who jointly own property in the neighborhood or live in the same rental dwelling and have paid annual dues collectively
Business Memberships
1) Any business within the boundaries of the neighborhood that has paid the annual dues
2) Any rental company or individual that owns and rents property in the neighborhood and has paid the annual dues
Voting privileges shall be as follows:
(1) Any individual member may exercise one vote or
(2) Any group membership may exercise two votes but
(3) No person may have more than one vote and
(4) No group membership may have more than two votes.
(5) Business memberships do not have voting privileges.
(6) Members not owning property who reside outside the boundaries of TLNA do not have voting privileges
Dues of the Association shall be established annually by the Board of Directors. The membership year will run from November 1 to October 31. Dues are not prorated.
The limits of the Tuscaloosa-Lakewood Neighborhood shall be defined as follows: The neighborhood is bounded on the south by Chapel Hill Boulevard between James Street and Chapel Hill Road; on the west by Chapel Hill Road between Chapel Hill Boulevard and Lakewood; on the North by Lakewood between Chapel Hill Road and James Street, and on the east by James Street between Lakewood and Chapel Hill Boulevard. Rainbow Avenue and Nation east from James Street shall be included. Residential property and businesses on both sides of the respective boundary streets shall be included.
The Tuscaloosa-Lakewood Neighborhood Association does not condone any form of discrimination; whether it be on the basis of race, religion, gender, age, or sexual orientation. In addition, we will actively pursue policies that minimize conflict and promote understanding among groups of people.
The Tuscaloosa-Lakewood Neighborhood Association shall be governed by a Board of Directors who shall serve for one year. Board members may be re-elected for consecutive terms. The Board may act as an Executive Committee to take action in the name of the Association when promptness of action appears desirable.
The Board of Directors shall consist of a President, a Vice-President, a Secretary, a Treasurer, and up to six Directors at large, elected by the Membership at an Annual Meeting. Board Meetings can take place in person or electronically, subject to Board Member availability. A simple majority of the Members present at any monthly or special meeting of the Association may elect a new Director at large.
A simple majority of the Board shall constitute a quorum for doing business at Board Meetings. Each board member shall be entitled to one vote. Any Member of the Board can call a special Board Meeting.
To be eligible for a position on the Board of Directors, a person must be a Member of the Association.
Board members shall serve without compensation.
Powers and duties of the Board shall include:
(a) filling of vacancies on the Board of Directors until the next Annual Meeting.
(b) annual appointment of a 3-member nominating committee, no more than one of which may be Board members or officers. The nominating committee shall present a slate of nominees for Board positions to the membership at the annual meeting and at other times during the year as new candidates present themselves.
(c) appointment and dissolution of other committees and chairs thereof. This power can be delegated to the President. Committees shall derive their charge from the Board.
(d) appointment of all persons or organizations to serve the association.
(e) interpretation of the By-Laws.
(f) establishment of a budget, and the approval of non-budgeted expenditures.
(g) fiduciary responsibility for the Association. In this capacity, the Board shall ordinarily ask the Membership for approval of expenditures at monthly meetings. However, the Board shall have the authority to make expenditures without first obtaining approval at a monthly meeting if circumstances do not allow for a delay. The Board shall report any expenses made to the Membership at each monthly meeting.
The President - or in the President’s absence, the Vice-President or another Officer - shall preside at all meetings of the Association and the Board and shall perform such duties as directed by the Board. The President shall be the official custodian of all records of the Association, shall keep the minutes of the Association and the Board, shall send all official correspondence in the name of the Association, and shall give all required notices.
Section 8
The Secretary shall take the minutes of each monthly meeting of the Association and any Board meetings. The Secretary shall organize and manage the printing and distribution of any mailings, including the quarterly newsletter.
Section 9
The Treasurer shall keep and be responsible for all funds of the Association and shall keep the membership records. All funds shall be deposited in an account in the name of the Tuscaloosa-Lakewood Neighborhood Association, and shall be withdrawn or dispersed only by the Treasurer with the co-signature of the President. All moneys received shall be immediately delivered to the Treasurer, for which he or she shall give a receipt, and all bills shall also be paid by the Treasurer. The Treasurer shall provide regular reports of all transactions and prepare financial statements as directed by the Board.
A general meeting of the Association will take place the first Thursday of each month. The Board will be responsible for securing a meeting place and will notify the Membership of the preliminary agenda not less than five days before the meeting.
The Annual Meeting of the membership of the Association shall be held during the month of October on the particular day, hour, and place as designated by the Board of Directors. Written or electronic notice of the annual meeting shall be given at least five days prior to such meeting.
Special meeting of the membership for any purpose may be called:
1) by the President, or in the President's absence by the Vice-President, or
2) by the Secretary upon the verbal, written, or electronic request of ten percent of the membership but not less than ten members. Verbal, written, or electronic notice of all special meetings stating the time, place, and object thereof shall be given to the membership at least five days before such meeting.
No fewer than 10 members shall constitute a quorum for the transaction of business at any regular or special meeting of the membership. After two successive meetings of the membership, held with due notice, at which a quorum is not obtained, howsoever many members as may attend the third consecutive meeting shall constitute a quorum. At meeting of the membership, decisions will be made by simple majority vote.
The fiscal year of the Association shall end on the 31st day of October.
Roberts Rules of Order Newly Revised shall govern the proceeding of all annual, regular, and special meetings of the Association and Board in all cases in which they are applicable, and in which they are not inconsistent with the By-Laws or the special rules of order of the Association.
In the event that the Tuscaloosa-Lakewood Neighborhood Association becomes inactive or dissolves, all moneys in the general fund shall be distributed to a tax-exempt community oriented institution or organization approved by a majority of the members of the Association at the time of dissolution.
